These Terms and Conditions ("Terms") govern your access to and use of the website located at canadianlenders.org (the "Site"), operated by the Canadian Lenders Association ("CLA," "we," "us," or "our"). By accessing or using the Site, applying for or maintaining membership, registering for an event, or submitting information through any form on the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

About the Canadian Lenders Association
CLA is a national trade association representing alternative and fintech lenders, service providers, and stakeholders in the Canadian lending industry. The Site provides information about our organization, membership, roundtables, events, industry news, and related resources.

Eligibility and Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable federal, provincial, or local law or regulation;
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems connected to the Site;
- Introduce viruses, malware, or other harmful code, or interfere with the security or proper functioning of the Site;
- Scrape, harvest, or collect information about other users or members without consent;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Submit false, misleading, or fraudulent information through any form, application, or registration on the Site.

Membership
Organizations and individuals may apply for CLA membership through the Site. Submitting a membership application does not guarantee acceptance; CLA reserves sole discretion to approve, decline, suspend, or terminate membership in accordance with its membership policies.
Membership dues, sponsorship fees, and event fees are invoiced and processed through our accounting and billing systems. By submitting payment, you authorize CLA and its payment processor to charge the applicable fees. Except as otherwise stated in an invoice, order form, or membership agreement, all fees are non-refundable. Membership benefits, dues structures, and renewal terms are described in the separate CLA Membership Agreement, which forms part of these Terms for members.

Events and Roundtables
Registration for CLA events, summits, and roundtables may be subject to additional terms communicated at the time of registration, including cancellation and refund policies. CLA reserves the right to modify, postpone, or cancel any event and will make reasonable efforts to notify registrants of material changes.

Intellectual Property
Unless otherwise noted, all content on the Site — including text, graphics, logos, the "Canadian Lenders Association" name and marks, research, reports, and design elements — is owned by or licensed to CLA and is protected by Canadian and international intellectual property laws. You may view, download, and print content from the Site for your own personal, non-commercial reference only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content without our prior written consent, except where a specific resource (such as a whitepaper) is expressly made available for sharing.

User Submissions
If you submit information through a contact form, membership application, event registration, or other form on the Site, you represent that the information is accurate and that you have the right to provide it. By submitting such information, you grant CLA the right to use it for the purposes described in our Privacy Policy.

The Site may contain links to third-party websites, resources, member company pages, or vendor listings that are not owned or controlled by CLA. Limitation of Liability
To the fullest extent permitted by law, CLA and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages. CLA's total aggregate liability for any claim arising from these Terms or your use of the Site will not exceed the amount, if any, you paid to CLA in the twelve (12) months preceding the claim.

Indemnification
You agree to indemnify and hold harmless CLA and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your misuse of the Site.

Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
